Dell Technologies enters $6 billion credit facility agreement

Dell Technologies Inc. (NYSE: DELL) entered into a new $6 billion senior unsecured revolving credit facility on June 10, 2026, according to a company filing.
The credit agreement with JPMorgan Chase Bank as administrative agent matures on June 10, 2031. Dell International L.L.C. and EMC Corporation serve as borrowers under the facility, which includes a letter of credit sub-facility of up to $500 million.
The agreement allows the borrowers to request additional incremental commitments in minimum amounts of $10 million. Dell Inc. and its subsidiaries plan to use proceeds for general corporate purposes.
Interest rates on borrowings will be determined by an applicable margin plus either the Secured Overnight Financing Rate or a base rate, with margins varying based on the company's credit ratings. The base rate equals the highest of the prime rate, federal reserve bank rate, or SOFR plus 1%.
Borrowings may be repaid voluntarily without premium or penalty, aside from standard breakage costs.
In connection with the new facility, Dell International and EMC terminated their existing credit agreement dated November 1, 2021, after repaying all outstanding obligations. The termination eliminates all future obligations under the previous agreement and related guarantees.
