Trump Media abandons Truth Social spin-off, focuses on TAE merger
Trump Media & Technology Group Corp. (NASDAQ: DJT) and TAE Technologies announced they will not proceed with a previously discussed spin-off of certain media assets, including Truth Social, into a separate publicly traded company.
The companies said they remain focused on completing their merger, targeting closure in the fourth quarter of 2026 or earlier. The spin-off discussions, which involved Texas Ventures Acquisition III (NASDAQ: TVA), began in February 2026 but were discontinued after further evaluation.
After the TAE merger closes, the combined company's board will evaluate strategic alternatives for legacy business units, including Trump Media's media assets, according to the press release.
TAE Technologies operates as a fusion power company developing clean energy solutions. The company also runs subsidiaries focused on energy storage systems and cancer treatment technologies.
Trump Media operates Truth Social, a social media platform, along with Truth+, a streaming service, and Truth.Fi, a financial services brand.
The merger will require approval from shareholders of both companies. Trump Media plans to file a registration statement with the Securities and Exchange Commission that will include proxy materials for the transaction.
