Richtech Robotics Inc. (NASDAQ: RR) received a notice from NASDAQ stating the company is not in compliance with listing rules due to failing to file its quarterly report on Form 10-Q for the period ended March 31, 2026, according to a company statement.
NASDAQ Listing Rule 5250(c)(1) requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission. The exchange has given Richtech Robotics 60 calendar days from the notice date, or until July 21, 2026, to submit a compliance plan.
If NASDAQ accepts the company's plan, the exchange may grant up to 180 days from the original filing due date, or until November 16, 2026, to regain compliance. The company noted there is no assurance NASDAQ will accept its compliance plan or that it will meet any extension deadline granted.
The notice does not immediately affect the listing or trading of the company's securities. However, failure to regain compliance with the rule would subject Richtech Robotics' securities to delisting from the NASDAQ Capital Market.
The Nevada-based robotics company, which develops AI-driven automation solutions for commercial and industrial applications, stated it is working to finalize its financial statements and file the Form 10-Q as soon as practicable.
If NASDAQ rejects the compliance plan, Richtech Robotics would have the opportunity to appeal the decision to a NASDAQ hearings panel.
