Global Mofy AI closes $8 million registered offering
Global Mofy AI Limited (NASDAQ: GMM) announced the completion of its registered direct offering, raising approximately $8 million in gross proceeds before fees and expenses.
The Beijing-based company sold 8,247,420 Class A ordinary shares at $0.97 per share, along with an equal number of Series A and Series B warrants to purchase additional Class A ordinary shares. Each warrant allows the holder to buy one Class A ordinary share.
Global Mofy AI plans to use the net proceeds for general corporate purposes, including working capital, product development, and expanding its AI-powered technology platforms and related infrastructure.
D. Boral Capital served as the exclusive placement agent for the offering. Ortoli Rosenstadt LLP acted as U.S. securities counsel to the company, while Loeb & Loeb LLP represented the placement agent.
The securities were offered under a shelf registration statement on Form F-3 that was filed with the Securities and Exchange Commission on March 6, 2026, and declared effective on March 18, 2026.
Global Mofy AI describes itself as a generative AI-driven technology solutions provider focused on virtual content production and 3D digital asset development. The company operates its proprietary "Mofy Lab" technology platform, which combines interactive 3D and artificial intelligence technology to create digital versions of physical objects for use in movies, television, gaming, and other applications.
According to the company, its Global Mofy Metaverse digital asset bank contains more than 150,000 high-precision 3D digital assets.
