Global Mofy AI completes $8 million registered offering
Global Mofy AI Limited (NASDAQ: GMM) closed its registered direct offering, raising approximately $8 million in gross proceeds before fees and expenses, according to a company statement.
The Beijing-based generative AI technology solutions provider sold 8,247,420 Class A ordinary shares at $0.97 per share, with each share accompanied by Series A and Series B warrants. The warrants allow holders to purchase additional Class A ordinary shares at terms specified in the offering documents.
Global Mofy stated it plans to use net proceeds for general corporate purposes, including working capital, product development, and expansion of its AI-powered technology platforms and infrastructure.
D. Boral Capital served as the exclusive placement agent for the offering. The securities were offered through a shelf registration statement filed with the Securities and Exchange Commission on March 6, 2026, and declared effective on March 18, 2026.
The company develops 3D digital assets for virtual content production using its proprietary "Mofy Lab" technology platform. Global Mofy's digital asset library contains more than 150,000 high-precision 3D digital assets for use in movies, television, gaming, advertising, and other applications.
Ortoli Rosenstadt LLP acted as U.S. securities counsel to Global Mofy, while Loeb & Loeb LLP represented the placement agent in the transaction.
