Editas Medicine announces public offering of stock and warrants

Editas Medicine Inc. (NASDAQ: EDIT) announced on May 26 that it has commenced an underwritten public offering of common stock and accompanying warrants to purchase shares of common stock.
The gene editing company said it may also offer pre-funded warrants to purchase shares of common stock in lieu of common stock. All securities in the offering will be sold by Editas Medicine.
Cantor Fitzgerald and Wells Fargo Securities are serving as joint book-running managers for the proposed offering. The company noted that the offering is subject to market and other conditions, with no assurance regarding completion or the actual size and terms.
The securities are being offered under an effective shelf registration statement on Form S-3 filed with the Securities and Exchange Commission. The registration statement was originally filed on February 28, 2024, with amendments filed on March 5, 2025, and declared effective on March 21, 2025.
A preliminary prospectus supplement describing the offering terms will be filed with the SEC and made available on the commission's website. Copies may also be obtained from the underwriters when available.
Editas Medicine develops gene editing medicines using CRISPR technology and holds exclusive licenses to Broad Institute's Cas12a patent estate and Broad Institute and Harvard University's Cas9 patent estates for human medicines.
The company stated in its press release that the announcement does not constitute an offer to sell or solicitation to buy the securities.
