Amazon shareholders elect 11 directors at annual meeting

Amazon.com Inc. (NASDAQ: AMZN) held its annual shareholder meeting on May 20, 2026, where shareholders elected 11 directors to serve until the next annual meeting.
The elected directors include Jeffrey P. Bezos, who received 7.47 billion votes in favor, and Andrew R. Jassy, who garnered 7.8 billion supporting votes. Other directors elected were Edith W. Cooper, Jamie S. Gorelick, Daniel P. Huttenlocher, Andrew Y. Ng, Indra K. Nooyi, Jonathan J. Rubinstein, Brad D. Smith, Patricia Q. Stonesifer, and Wendell P. Weeks.
Shareholders ratified the appointment of Ernst & Young LLP as the company's independent auditor for fiscal year 2026, with 8.4 billion votes in favor and 522.6 million against.
Executive compensation received advisory approval from shareholders, with 7.39 billion votes supporting the compensation packages outlined in the proxy statement and 470.5 million votes against.
Several shareholder proposals failed to gain approval. A proposal requesting a report on charitable partnerships received only 72.7 million supporting votes compared to 7.74 billion opposing votes. Another proposal seeking additional reporting on data centers' impact on climate commitments garnered 1.44 billion votes in favor but faced 6.37 billion votes against.
Shareholders also rejected proposals for climate impact reporting, mandatory independent board chair policy, and establishment of a worker-oriented AI advisory council. The AI advisory council proposal received minimal support with only 49,093 votes in favor.
The voting results were disclosed in a company statement following the annual meeting.
