RCI Hospitality receives Nasdaq noncompliance notice for late 10-Q filing

RCI Hospitality Holdings Inc. (NASDAQ: RICK) received a letter from Nasdaq on May 20, 2026, notifying the company of noncompliance with listing requirements due to the late filing of its quarterly report.
The Houston-based company has not filed its Form 10-Q for the second quarter ended March 31, 2026, violating Nasdaq Listing Rule 5250(c)(1) which requires timely filing of reports with the Securities and Exchange Commission. The letter has no immediate effect on the company's stock listing.
Under Nasdaq rules, RCI has until July 20, 2026, to file its 10-Q or submit a compliance plan. The company stated it intends to file the quarterly report as soon as practicable. If unable to file by the deadline, RCI will submit a compliance plan by July 20, 2026.
If Nasdaq accepts the compliance plan, the exchange may grant an exception of up to 180 calendar days from the 10-Q's original due date, extending the deadline to November 16, 2026. The company can regain compliance at any time before that date by filing its 10-Q and all subsequent required periodic filings due within that period.
If Nasdaq rejects RCI's compliance plan, the company has the option to appeal the decision to a Nasdaq panel. The information was disclosed in a press release statement from RCI Hospitality Holdings.
