mF International receives Nasdaq filing deficiency notice
mF International Limited (NASDAQ: MFI) received written notification from Nasdaq dated May 18, 2026, stating the company is not in compliance with Nasdaq Listing Rule 5250(c)(1) for failing to file its annual report on Form 20-F for the year ended December 31, 2025.
The Hong Kong-based financial trading solutions provider filed a Form 12b-25 that extended the filing deadline to May 15, 2026, but has not yet submitted the required annual report. The notification has no immediate effect on the listing or trading of the company's class A ordinary shares on the Nasdaq Capital Market.
Under Nasdaq listing rules, mF International has until July 17, 2026, to submit a compliance plan addressing how it intends to regain compliance with the filing requirement. If Nasdaq accepts the plan, the company may receive up to 180 calendar days from the original filing due date, or until November 11, 2026, to regain compliance.
The company stated it is working with accounting, audit and legal professionals to prepare the compliance plan and the Form 20-F filing. mF International expects its shares will continue to be listed and traded on the Nasdaq Capital Market during this period.
mF International operates as a British Virgin Islands holding company with subsidiaries in Hong Kong. Its principal operating subsidiary, m-FINANCE, provides financial trading solutions via internet platforms as software as a service.
