Relay Therapeutics prices $275 million public stock offering at $12 per share

Relay Therapeutics Inc. (NASDAQ: RLAY) announced the pricing of a public offering of 22,916,667 shares of common stock at $12.00 per share. The Cambridge, Massachusetts-based clinical-stage precision medicine company expects gross proceeds of approximately $275 million before underwriting discounts and expenses.
The company granted underwriters a 30-day option to purchase up to an additional 3,437,500 shares. All shares in the offering will be sold by Relay Therapeutics.
Jefferies, TD Cowen, Goldman Sachs & Co. LLC and Guggenheim Securities serve as joint book-running managers for the offering, with Raymond James acting as lead manager. The offering is expected to close on or about May 22, 2026, subject to customary closing conditions.
The shares are being offered pursuant to an automatically effective shelf registration statement on Form S-3ASR filed with the Securities and Exchange Commission on August 6, 2024. A preliminary prospectus supplement and accompanying prospectus was filed with the SEC on May 19, 2026.
Relay Therapeutics develops small molecule precision medicines for patients with cancer and genetic diseases. The company's lead clinical asset, zovegalisib, is in a Phase 3 clinical trial for HR+/HER2- metastatic breast cancer and is being investigated for PIK3CA-driven vascular anomalies. The pipeline also includes programs for NRAS-driven solid tumors and Fabry disease.
