Cingulate board to shrink to five directors after 2026 meeting

Cingulate Inc. (NASDAQ: CING) announced that two Class II directors, Jeff Ervin and Jay Roberts, will not seek re-election when their terms expire at the company's 2026 Annual Meeting of Stockholders. The board plans to reduce its size to five directors and appoint a new chairman at that time.
To maintain the required balance among director classes under the company's certificate of incorporation, Jeff Hargroves resigned from his position as a Class I director and was immediately reappointed as a Class II director on May 18, 2026. The board also nominated Hargroves to stand for election at the annual meeting.
Following these changes, the Class I directors consist of Peter Werth and Frederick Jiang. The company's certificate of incorporation requires each class to consist of approximately one-third of the total number of directors on the board.
