Smith Micro files resale registration statement for existing securities

Smith Micro Software Inc. (NASDAQ: SMSI) filed a resale registration statement on Form S-1 with the Securities and Exchange Commission to register shares of common stock underlying previously issued securities from financing transactions completed in 2025 and 2026.
The Pittsburgh-based company stated that no additional securities are being issued and stockholders will not experience dilution from this filing. The registration statement covers shares issuable upon exercise or conversion of previously disclosed common stock purchase warrants and convertible notes.
The filing satisfies contractual registration rights granted in connection with those financing transactions, according to the company. Smith Micro noted that additional information regarding the original financing transactions and the securities covered by the registration statement can be found in the company's prior SEC filings.
Smith Micro develops software solutions for mobile experiences and provides services to wireless service providers globally. The company's offerings include digital family lifestyle solutions and voice messaging capabilities for smartphones and consumer IoT devices.
