Vistance Networks to sell RUCKUS business to Belden for $1.846 billion

Vistance Networks (NASDAQ: VISN) announced it has entered into a definitive agreement to sell its RUCKUS Networks business to Belden Inc. (NYSE: BDC) for $1.846 billion in cash. The transaction is expected to close in the second half of 2026, subject to customary closing conditions and regulatory approvals.
The company expects net proceeds after taxes and transaction expenses to be approximately $1.7 billion. Vistance plans to distribute a significant portion of the excess cash to shareholders as a special distribution within 60 days following the transaction's completion. The exact amount and timing will be determined by the board after closing.
"This transaction unlocks additional equity value and allows us to return cash to our shareholders, while providing a strategic, complementary fit for our RUCKUS business," said Chuck Treadway, CEO of Vistance Networks. "This transaction will allow us to focus on the Aurora Networks business."
Following the divestiture, Vistance will concentrate on its Aurora Networks business. The company stated the transaction will provide financial flexibility for continued investment in developing technology for customers, both organically and through acquisitions.
Moelis & Company LLC is serving as financial advisor to Vistance Networks, while Alston & Bird LLP are acting as legal advisors for the transaction.
The company plans to hold a conference call at 8:30 a.m. Eastern to discuss the transaction and first quarter 2026 results.
