CoreWeave raises $1 billion in private placement with Jane Street

CoreWeave Inc. (NASDAQ: CRWV) completed a $1 billion private placement on April 15, 2026, according to a company statement. The transaction involved the sale of 9,174,311 shares of Class A common stock to Jane Street Global Trading, LLC at $109.00 per share.

The shares were issued through a private placement under Section 4(a)(2) of the Securities Act of 1933, which exempts transactions not involving a public offering. CoreWeave granted Jane Street limited piggyback registration rights for the purchased shares.

The Class A common stock has a par value of $0.000005 per share. The company entered into a Securities Purchase Agreement with Jane Street on the same date as the transaction completion.
