Encore Inc., an event production and technology company, filed a registration statement on Form S-1 with the Securities and Exchange Commission for a proposed initial public offering of its common stock, according to a company statement.
The Schiller Park, Illinois-based company intends to list its shares on the New York Stock Exchange under the ticker symbol "ECR" if the offering is completed. The number of shares to be offered and the price range have not been determined.
BofA Securities, Goldman Sachs & Co. LLC and Morgan Stanley are serving as joint lead book-running managers for the proposed offering. Additional book-running managers include Evercore ISI, J.P. Morgan, Jefferies, RBC Capital Markets, UBS Investment Bank, Rothschild & Co, Stifel, William Blair, Wolfe | Nomura Alliance, LionTree and The Raine Group. Blackstone Capital Markets is acting as co-manager.
The company describes itself as serving approximately 100,000 customers through a network of about 2,200 venue partners. Encore operates in 23 countries across North America, Europe, the Middle East, Australia, and Asia Pacific.
The offering is subject to market conditions and the effectiveness of the registration statement. The registration statement has not yet become effective, and no securities may be sold until that occurs.
