Freedom Holding considers common stock offering in Kazakhstan
Freedom Holding Corp. (NASDAQ: FRHC) announced it is considering an offering of its common stock in Kazakhstan, according to a company statement.
The international financial technology group said the potential offering would be conducted outside the United States under Regulation S of the Securities Act of 1933, if the company decides to proceed.
The company emphasized that any securities in the potential offering have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States or to U.S. persons without registration or an applicable exemption.
Freedom Holding noted that the announcement does not constitute an offer or solicitation to purchase securities in the United States. The company included standard forward-looking statement disclaimers, acknowledging that the offering may not proceed and that actual results could differ from expectations.
