Capital One Financial Corporation (NYSE: COF) completed its acquisition of Brex Inc. on April 7, 2026, according to a company statement. The transaction was valued at approximately $2.56 billion in cash and 10,646,306 shares of Capital One common stock.
The acquisition was conducted under the terms of a merger agreement dated January 22, 2026. Brex, a Delaware corporation, was acquired through the purchase of its outstanding equity.
The cash payment portion of the transaction remains subject to customary post-closing adjustments, Capital One stated. The deal includes both cash consideration and stock consideration in the form of Capital One common stock with a par value of $0.01 per share.
