Krispy Kreme adds two directors to board

Krispy Kreme Inc. (NASDAQ: DNUT) appointed David Shear and Melissa Werneck as directors, effective April 2, 2026, according to a company statement.
The board elected both directors on April 1, 2026, to serve terms expiring at the 2026 annual stockholders meeting. Werneck previously served as Global Chief People Officer at The Kraft Heinz Company from 2013 to August 2025 and will join the Compensation, Nomination, and Governance Committee.
Shear brings international franchise experience from his tenure at Restaurant Brands International Inc. since 2014, where he served as President, International from 2021 to March 2024.
Both directors will receive standard compensation provided to other non-employee directors on a pro rata basis. The company stated neither director has arrangements or understandings with other parties regarding their election, nor do they have material interests in transactions requiring disclosure under SEC regulations.
The board determined both Shear and Werneck qualify as independent directors under applicable listing standards.
