Noodles & Company board members step down ahead of annual meeting

Noodles & Company (NASDAQ: NDLS) announced that two board members will not seek re-election at the company's 2026 annual stockholder meeting.
Robert Hartnett and Mary Egan, both Class I directors, notified the board on March 24, 2026, of their decisions not to stand for re-election. Both directors will continue serving until the annual meeting, with Hartnett remaining as chair of the compensation committee and member of the audit committee, while Egan continues as chair of the nominating and corporate governance committee and member of the compensation committee.
The company stated that the directors' decisions were not related to any disagreements with management, the board, or the company's operations, policies, or practices.
Following the departures, the board voted to reduce its size from nine members to seven members, effective at the annual meeting. The board indicated this adjustment aligns with the company's current size and complexity.
To maintain balance among the board's three classes, which must be nearly equal in size, the board nominated Mr. Lynch to be elected as a Class I director at the annual meeting. Lynch agreed to resign from his current position as a Class III board member, contingent upon his election to the new class.
