Flowco Holdings prices secondary offering at $22 per share

Flowco Holdings Inc. (NYSE: FLOC) announced the pricing of a secondary public offering by certain affiliates of GEC Advisors LLC at $22.00 per share. The offering consists of 7.8 million shares of Class A common stock, with underwriters granted a 30-day option to purchase an additional 1.17 million shares at the same price.
The offering is expected to close on March 23, 2026, subject to customary closing conditions. Flowco will not issue new shares or receive proceeds from the sale, as the shares are being sold by existing stockholders.
Separately, Flowco announced its intention to repurchase 780,000 shares from the underwriters at the same price paid to the selling stockholders. The share repurchase will be conducted under the company's existing repurchase program and is conditional on the completion of the offering.
J.P. Morgan and Jefferies are serving as joint lead bookrunning managers for the transaction. The registration statement for the securities has been declared effective by the Securities and Exchange Commission under file number 333-293202.
Flowco provides production optimization, artificial lift and emissions management solutions for the oil and natural gas industry. The company's products and services include equipment and technology solutions designed to help oil and gas producers maximize asset profitability and economic lifespan.
