CoreWeave signs $6.3 billion cloud capacity deal with NVIDIA

CoreWeave Inc. (NASDAQ: CRWV) entered into a $6.3 billion order form with NVIDIA Corporation on September 9, 2025, under an existing Master Services Agreement from April 2023.
The arrangement establishes a framework for CoreWeave to sell reserved cloud computing capacity to its customers while providing NVIDIA access to any residual unsold capacity. Under the agreement terms, NVIDIA is obligated to purchase any unused datacenter capacity through April 13, 2032, subject to delivery and service availability requirements.
The Master Services Agreement remains in effect until all outstanding orders expire or terminate, or the agreement is otherwise terminated according to its terms. Either party may terminate the agreement with 30 days' written notice for breach or if the other party faces bankruptcy, insolvency proceedings, receivership, liquidation or creditor assignment that is not dismissed within 90 days.
CoreWeave determined the agreement qualifies as material under Item 1.01 of Form 8-K due to its amount and significance. The agreement includes standard provisions for representations, warranties, indemnification and liability limitations.
NVIDIA serves as both a GPU supplier to CoreWeave and holds a stockholder position in the company. CoreWeave will file a copy of the Master Services Agreement as an exhibit to its quarterly report for the period ending September 30, 2025.
