Personalis, Inc. (PSNL) Prices 3.95M Share Common Offering at $38/Sh

Personalis, Inc. (NASDAQ: PSNL) today announced the pricing of its previously announced underwritten public offering of 3,950,000 shares of its common stock at a price to the public of $38.00 per share. Gross proceeds to Personalis from the offering are expected to be $150.1 million, before deducting underwriting discounts and commissions and estimated offering expenses.

In addition, the underwriters have been granted a 30-day option to purchase up to an additional 592,500 shares of common stock from Personalis on the same terms and conditions.

Morgan Stanley, BofA Securities, Citigroup and Cowen are acting as joint book-running managers. BTIG is acting as co-manager.

A shelf registration statement relating to the shares being sold in this offering was filed with the U.S. Securities and Exchange Commission on December 30, 2020, and was declared effective on January 8, 2021.
