NeuBase Therapeutics (NBSE) Prices 5.25M Share Common Offering at $6/Sh

NeuBase Therapeutics, Inc. (NASDAQ: NBSE) announced today the pricing of an underwritten public offering of 5,250,000 shares of its common stock, at a price to the public of $6.00 per share. The gross proceeds to NeuBase from the offering, before deducting the underwriting discounts and commissions and offering expenses payable by NeuBase, are expected to be approximately $31,500,000, excluding any exercise of the underwriters’ option to purchase additional shares of common stock. In addition, NeuBase has granted the underwriters a 30-day option to purchase up to an additional 787,500 shares of its common stock at the public offering price, less underwriting discounts and commissions, to cover over-allotments, if any. Participants in the offering included members of NeuBase’s management and Board of Directors. All of the shares of common stock in the offering are being sold by NeuBase.
Oppenheimer & Co. Inc. and BTIG are acting as the joint book-running managers for the offering, and Chardan and National Securities Corporation, a wholly-owned subsidiary of National Holdings, Inc. (NHLD), are acting as the co-managers.
NeuBase intends to use the net proceeds from this offering for working capital and general corporate purposes and to advance the development of its product candidates and expand its pipeline. This offering is expected to close on or about April 30, 2020, subject to the satisfaction of customary closing conditions.
