Smartbird names Nadia Carlsten CEO after completing Allbirds asset sale

Smartbird, Inc. (NASDAQ: BIRD), formerly known as Allbirds, Inc., has appointed Nadia Carlsten as president and chief executive officer, effective June 17, 2026. Carlsten also joins the company's board of directors, replacing Joe Vernachio, who is resigning from both roles.

The company has completed the sale of the Allbirds brand and footwear assets, as previously announced, and has formally changed its name to Smartbird. The ticker symbol "BIRD" on the Nasdaq Global Select Market remains unchanged.

Allbirds Inc. (NASDAQ: BIRD) sold $5 million in convertible notes on June 4, 2026, according to a company statement. The notes are part of a securities purchase agreement entered into on April 14, 2026, under which the company can issue up to $50 million in senior secured convertible notes.

The convertible notes can be converted into shares of Allbirds' Class A common stock. The company offered and sold the notes under Rule 506(b) of the Securities Act of 1933, which provides an exemption from registration requirements.
