OLIN and HUNTSMAN agree to all-stock merger valued at $12.5B

Olin Corporation (NYSE: OLN) and Huntsman Corporation (NYSE: HUN) have entered into a definitive agreement to combine in an all-stock merger of equals, the companies announced June 16, 2026. The combined entity would be renamed OlinHuntsman Corporation and headquartered in The Woodlands, Texas.

Under the terms of the deal, Huntsman shareholders will receive 0.5476 shares of Olin for every one share of Huntsman. Upon closing, Olin shareholders will own approximately 54.5% of the combined company and Huntsman shareholders will own approximately 45.5%. The transaction was unanimously approved by both boards and is expected to close in the first half of 2027, pending regulatory approvals and shareholder votes from both companies.

The two companies reported combined 2025 revenue of approximately $12.5 billion. The companies have identified more than $300 million in cost synergies and integration benefits, with the majority expected to be realized within 24 months and all expected by the end of year three. An additional $100 million in raw material integration benefits is projected to begin in 2031. The companies also expect approximately $125 million in cash tax benefits through the acceleration of net operating losses.

Ken Lane, currently Olin's president and chief executive officer, will serve as CEO of OlinHuntsman. Peter Huntsman, currently Huntsman's chairman, president and CEO, will serve as non-executive chairman of the combined company's board. Phil Lister, Huntsman's current CFO, will become CFO of OlinHuntsman. The board will consist of ten members with equal representation from both companies.

Lazard is serving as financial advisor to Olin, with Cravath, Swaine & Moore LLP and Sidley Austin LLP as legal counsel. Citi and Morgan Stanley & Co. LLC are acting as financial advisors to Huntsman, with Kirkland & Ellis LLP as legal counsel.
