Quantum delays annual report filing, cites balance sheet transactions

Quantum Corporation (NASDAQ: QMCO) filed a Form 12b-25 notification with the Securities and Exchange Commission regarding the late filing of its Annual Report on Form 10-K for the fiscal year ended March 31, 2026.

The data management solutions company stated it intends to file the annual report by June 29, 2026, within the 15-day extension period allowed under SEC Rule 12b-25. The original filing deadline has passed.

Quantum attributed the delay to several factors, including balance sheet transactions completed on June 4, 2026, that required substantial focus from senior management during the period leading up to the original filing deadline. The company is working with its independent registered public accounting firm to complete the audit of its financial statements.

The filing marks the first year Quantum's financial statements have been audited by its current independent registered public accounting firm, involving additional first-year audit procedures. The company also became an accelerated filer beginning with its Fiscal 2026 Form 10-K, subjecting it to an earlier filing deadline and additional procedures relating to management's assessment of internal control over financial reporting.

Quantum stated it does not expect the delay to affect its previously announced preliminary unaudited financial results for the fourth quarter of Fiscal 2026 or financial statements for prior fiscal periods.

The company will reschedule its earnings release and conference call for the fiscal fourth quarter and full year 2026, previously scheduled for June 15, 2026. A new date will be announced once the Form 10-K filing date is confirmed.
