Paramount extends deadline for Warner Bros Discovery debt offers
Paramount Skydance Corporation (NASDAQ: PSKY) announced it has extended the expiration date for its exchange offers and tender offers on Warner Bros. Discovery debt securities to July 1, 2026, at 5:00 p.m. New York time.
The offers involve purchasing or exchanging notes issued by Discovery Global Holdings, Inc. and Discovery Communications, LLC, both Warner Bros. Discovery subsidiaries. Settlement dates are expected to occur in the third quarter of 2026.
As of June 11, 2026, approximately 11.12% of tender offer notes and 16.30% of exchange offer notes have been validly tendered. The company indicated these figures may not represent final results as it anticipates further extending the offers to align with the closing date of its proposed acquisition of Warner Bros. Discovery.
The offers cover multiple note series with varying interest rates and maturity dates ranging from 2027 to 2052. The tender offers involve cash purchases totaling approximately $2.4 billion in principal amount, while exchange offers cover notes worth approximately $11.4 billion in U.S. dollar equivalents.
Paramount may terminate individual offers if conditions are not met by the expiration date. The company stated that tenders may be withdrawn at any time before the expiration date.
BofA Securities and Citigroup serve as dealer managers for the offers, while Global Bondholder Services Corporation acts as exchange agent and information agent.
