Victoria's Secret shareholders re-elect all nine board directors

Victoria's Secret & Co. (NYSE: VSXY) announced that shareholders voted to re-elect all nine company director nominees at the 2026 annual meeting, based on preliminary results.

Independent Chair Donna James received approval from over 99% of votes cast, excluding votes from BBRC International Pte Limited, which conducted a proxy contest against her re-election. Including all votes cast, James was re-elected with over 83% approval. The other eight director nominees received at least 96% approval excluding BBRC votes, or at least 81% of all votes cast.

BBRC voted against all company director nominees except CEO Hillary Super. The proxy contest targeted James' re-election specifically while opposing the other board members.

The company stated the results demonstrate shareholder support for current board leadership and the "Path to Potential" strategy. Victoria's Secret noted recent first quarter 2026 results exceeded guidance for revenue and earnings.

The preliminary results remain subject to change until final tabulation and certification by the independent inspector of election. Victoria's Secret will file final voting results on Form 8-K with the Securities and Exchange Commission.

Victoria's Secret operates approximately 1,420 retail stores across roughly 70 countries and employs more than 30,000 associates. The company's brands include Victoria's Secret, PINK, and digital intimates brand Adore Me.
