Broadcom launches $2.5 billion cash tender offers for debt securities
Broadcom Inc. (NASDAQ: AVGO) announced on June 11, 2026, that it has commenced cash tender offers to purchase up to $2.5 billion in outstanding debt securities across six series of senior notes.
The company is offering to purchase notes with maturity dates ranging from 2030 to 2038, including 4.926% Senior Notes due 2037 worth $2.5 billion, 4.900% Senior Notes due 2038 worth $1.75 billion, and four other series with values between $800 million and $1.75 billion each.
The notes will be accepted based on priority levels, with the 4.926% Senior Notes due 2037 having the highest priority. Total consideration for each $1,000 principal amount will be determined based on reference yields and fixed spreads ranging from 25 to 80 basis points, calculated on June 17, 2026.
The tender offers are scheduled to expire at 5:00 p.m. New York time on June 17, 2026, with settlement expected on June 18, 2026. Notes may be withdrawn until the expiration deadline. The company has retained Barclays Capital Inc. and Citigroup Global Markets Inc. as dealer managers for the offers.
Broadcom may increase the $2.5 billion consideration cap amount but is not obligated to do so. The offers are not subject to minimum tender requirements or financing conditions, and each offer is independent of the others.
The company stated the offers are subject to certain conditions outlined in the formal offer documents. If conditions are not met, Broadcom may delay, terminate or alter the offers without accepting tendered notes for payment.
