BIO-key receives Nasdaq non-compliance notice for late 10-Q filing
BIO-key International Inc. received a notification from Nasdaq stating the company violated listing rule 5250(c)(1) for failing to file its quarterly report on Form 10-Q for the period ended March 31, 2026, according to a company statement.
The notification indicates BIO-key did not comply with Nasdaq requirements for timely filing of periodic financial reports with the Securities and Exchange Commission. Nasdaq informed the company that its Hearing Panel will consider this violation when determining whether BIO-key can continue listing on the Nasdaq Capital Market.
BIO-key develops biometric authentication technologies and identity and access management software. The company states its solutions serve over 40 million users through cloud-hosted or on-premise platforms.
The company did not specify when it plans to file the overdue quarterly report or provide details about the reasons for the delay. Nasdaq listing rules require companies to maintain compliance with SEC filing requirements to retain their exchange listing status.
