Other Events.

STRC Semi-Monthly Dividends

On June 8, 2026, Strategy Inc (the “Company”) held its 2026 Annual Meeting of Stockholders. Based on preliminary voting results, the requisite vote was obtained from the issued and outstanding shares of the Company’s common stock and Variable Rate Series A Perpetual Stretch Preferred Stock (“STRC”), in each case as of the record date for the Annual Meeting (April 17, 2026), to approve an amendment to the terms of STRC to change the dividend record dates and dividend payment dates for STRC from monthly to semi-monthly.
