Venus Concept to delist from NASDAQ, deregister with SEC
Venus Concept Inc. announced it will voluntarily delist its common stock from the NASDAQ Capital Market and deregister with the Securities and Exchange Commission.
The company stated it remains in compliance with NASDAQ listing requirements. The board of directors determined that resources required for SEC reporting obligations exceed the benefits of the NASDAQ listing for the company and shareholders.
Venus Concept plans to file Form 25 with the SEC on or about January 30, 2026, with the last trading day expected around February 6, 2026. The company intends to file Form 15 on or about February 9, 2026, which will immediately suspend its obligation to file periodic reports including Forms 10-K, 10-Q and 8-K.
"The Board of Directors, after thorough evaluation, has determined this action is in the best interests of the Company and its shareholders," said Rajiv De Silva, Chief Executive Officer. "We believe the reduced costs for compliance will help facilitate the Company's ability to continue to execute our turnaround plan."
The company stated it will continue working with Madryn Asset Management on positioning for long-term financial success.
