VS Media Holdings announces 1-for-20 share combination effective January 9
VS Media Holdings Limited (NASDAQ: VSME) announced plans to implement a 1-for-20 share combination of its Class A and Class B ordinary shares, effective January 9, 2026.
The company's shares will begin trading on a post-combination basis on the Nasdaq Capital Market under the same "VSME" symbol but with a new CUSIP number G9517U111. Under the combination, every 20 issued and outstanding shares will automatically convert into one share. No fractional shares will be issued, with any fractional amounts rounded up to the next whole number.
The share combination aims to enable the company to regain compliance with Nasdaq Marketplace Rule 5550(a)(2) and maintain its listing on the Nasdaq Capital Market. The action affects all shareholders uniformly and will not alter any shareholder's percentage interest in the company's outstanding ordinary shares, except for adjustments resulting from fractional share treatment.
VS Media's board of directors approved the share combination on December 4, 2025, with shareholder approval obtained on December 31, 2025.
The Hong Kong-based company manages a network of digital creators across Asia Pacific and provides content-driven social commerce and marketing services to brands. Founded in 2013, VS Media partners with over 1,500 creators and over 1,000 brands across Hong Kong, China, Taiwan, Singapore and other markets.
