Mesa Air Group approves 15-to-1 reverse stock split effective November 24

Mesa Air Group Inc. (NASDAQ: MESA) announced that its board of directors approved a 15-to-1 reverse stock split of the company's common stock, according to a company statement.

The reverse stock split will reduce Mesa's authorized shares from 125 million to approximately 8.33 million shares. Under the split, every 15 shares of common stock will automatically convert into one share.

The company expects the reverse stock split to become effective at 5:00 p.m. Eastern Time on November 24, 2025. Mesa's stock will trade on a post-split basis beginning November 25, 2025, under the new ticker symbol "RJET" with CUSIP number 590479408.

The timing assumes completion of Mesa's previously announced merger with Republic Airways Holdings Inc. Fractional shares resulting from the split will be rounded up to the nearest whole share for registered holders and participants with The Depository Trust Company.

Mesa stated that proportionate adjustments will be made to shares underlying the company's outstanding equity awards. The reverse stock split will not alter stockholders' percentage ownership in the company, except for rounding adjustments.

Under Nevada law, the board could approve the reverse stock split without stockholder approval because both authorized and outstanding shares are being proportionally reduced.
