Lazydays completes 1-for-30 reverse stock split to meet Nasdaq requirements

Lazydays Holdings Inc. (NASDAQ: GORV) completed a 1-for-30 reverse stock split that took effect at 5:00 p.m. Eastern time on July 11, 2025. The company filed a Certificate of Amendment to its Restated Certificate of Incorporation with the Delaware Secretary of State to execute the split.

The reverse stock split automatically combined every 30 shares of common stock into one new share. Trading on the adjusted basis is expected to begin on the Nasdaq Capital Market at market open on July 14, 2025, under the existing symbol "GORV" with a new CUSIP number 52110H209.

The company stated the reverse stock split aims to increase its per-share market price to regain compliance with the minimum per-share bid price requirement for continued listing on the Nasdaq Capital Market.

No fractional shares will be issued in connection with the reverse stock split. Shareholders holding fractional shares will receive additional fractions necessary to round up to the nearest whole number of shares. The reverse stock split will not alter stockholders' percentage ownership interest in the company, except for minimal changes due to rounding.

Continental Stock Transfer & Trust Company will serve as the exchange agent for the reverse stock split. Registered stockholders holding shares electronically in book-entry form are not required to take any action to receive post-reverse split shares. Stockholders holding shares in brokerage accounts will have their positions automatically adjusted, while stockholders holding physical certificates will receive transmittal letters with instructions.

Lazydays operates as an RV dealer and has been in business since 1976, offering RV sales, service, and accessories through multiple locations.
