Empery Digital repurchases 21.3 million shares under $200 million program

Empery Digital Inc. (NASDAQ: EMPD) has repurchased 21,291,076 shares of its common stock under its $200 million share repurchase program as of March 13, 2026, the company announced. The shares were purchased at an average price of $5.98 per share, including fees and commissions.



Following the repurchases, Empery Digital has 30,129,159 shares outstanding, after accounting for the potential exercise of 616,598 pre-funded warrants.



During the week ending March 13, 2026, the company sold 60 bitcoin at an average price of $70,534 per bitcoin, generating approximately $4.2 million in gross proceeds. The company used these proceeds to fund the share repurchases. Empery Digital currently holds 3,502 bitcoin in its treasury.



The company stated it remains committed to maximizing per-share value and closing the net asset value gap through share repurchases at prices below net asset value. Management indicated it has sufficient cash to execute share repurchases while maintaining appropriate leverage ratios.



Empery Digital plans to use existing cash balances and reduce its bitcoin holdings as needed to fund future share repurchases and potentially repay portions of outstanding borrowings, according to the press release statement.



The Austin, Texas-based company describes itself as employing a bitcoin treasury strategy focused on aggregating bitcoin and maximizing bitcoin per share through digital asset management and blockchain technology.
