Empery Digital repurchases 15.4 million shares under $200 million program
Empery Digital Inc. (NASDAQ: EMPD) has repurchased 15,403,738 shares of its common stock under its $200 million share repurchase program as of February 6, 2026, according to a company statement.
The Austin-based company purchased the shares at an average price of $6.71 per share, including fees and commissions. Following the repurchases, the company has 36,016,497 shares outstanding, after accounting for the potential exercise of 870,240 pre-funded warrants.
During the week ending February 6, 2026, Empery Digital sold 357.7 bitcoin for an average price of $67,907 per bitcoin, generating approximately $24 million in gross proceeds. The company currently holds 3,723.7 bitcoin in its treasury.
The company stated it intends to use a portion of the sale proceeds to fund share repurchases and partially repay outstanding debt. Management cited the need to manage risk and release collateral due to increased bitcoin volatility.
Empery Digital indicated it plans to leverage its balance sheet, including reducing bitcoin holdings, to fund future share repurchases and potentially repay additional borrowings. The company stated its commitment to share repurchases at prices below net asset value.
