Empery Digital repurchases 12.9 million shares, moves to NASDAQ Global
Empery Digital Inc. (NASDAQ: EMPD) announced it has repurchased 12,875,918 shares of common stock under its $150 million share repurchase program as of November 21, 2025. The company paid an average price of $7.10 per share, including fees and commissions.
Following the repurchases, approximately $59 million remains available for future buybacks. The current number of shares outstanding is 38,544,317, after accounting for the potential exercise of 3,913,538 pre-funded warrants.
The Austin-based company has funded share repurchases through borrowings under announced $150 million credit facilities, of which $95 million has been drawn. The company stated its commitment to increasing bitcoin per share through share repurchases at prices below net asset value.
"With Bitcoin and Treasury Companies under selling pressure, I continue to be encouraged by this unique opportunity to add BTC per share in an impactful way," said Ryan Lane, Chairman and Co-CEO.
Separately, Empery Digital announced that NASDAQ approved the transfer of its common stock from the NASDAQ Capital Market to the NASDAQ Global Select Market. The company's shares began trading on the NASDAQ Global Select Market on November 21, 2025.
The approval reflects the company's compliance with listing standards for the exchange's tier. Empery Digital operates a bitcoin treasury strategy focused on digital asset management through blockchain technology.
