Honeywell files Form 10 for Solstice Advanced Materials spin-off

Honeywell (NASDAQ: HON) filed a Form 10 registration statement with the U.S. Securities and Exchange Commission for the planned spin-off of Solstice Advanced Materials, marking a step toward completing the transaction in the fourth quarter of 2025.

Solstice Advanced Materials will operate as a specialty materials company focused on refrigerants, semiconductor materials, protective fibers, and healthcare packaging solutions. The company generated net sales of $3.8 billion, net income of $0.6 billion, and adjusted EBITDA of $1.1 billion in 2024.

The business will be organized into two segments: Refrigerants & Applied Solutions, which generated $2.7 billion in net sales in 2024, and Electronic & Specialty Materials, which generated $1.0 billion in net sales during the same period.

Solstice will host an Investor Day on October 8, 2025, in New York City to provide details on its business operations and financial model. The event will be webcast through Honeywell's investor relations website.

The company's common stock is expected to trade on the Nasdaq Stock Exchange under the ticker symbol "SOLS." The spin-off is expected to be tax-free for Honeywell shareholders for U.S. federal income tax purposes, except for any cash received in lieu of fractional shares.

Solstice Advanced Materials employs more than 3,900 people across 21 manufacturing sites and four research and development facilities. The company owns brands including Solstice, Genetron, Aclar, Spectra, Fluka, and Hydranal.
