On June 15, 2026, the Registrant announced that its wholly owned subsidiary, National Defense Corporation (“NDC”), was holding a groundbreaking ceremony for a new state-of-the-art medium caliber ammunition production and test facility at NDC’s Tech Ord campus in Clear Lake, South Dakota. A press release describing the event and new facility is filed as Exhibit 99.1 to this Form 8‑K. Such Exhibit shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
