Item 8.01 Other Events.

On July 2, 2024, 180 Life Sciences Corp. (the “Company”) filed a press release disclosing the fact that it has been provided an extension from a Hearing Panel of the Nasdaq Stock Market LLC (“Nasdaq”) to retain compliance with the minimum stockholders’ equity requirement for continued listing on the Nasdaq Capital Market. A copy of the press release is included herewith as Exhibit 99.1 and the information in the press release is incorporated by reference into this Item 8.01 in its entirety.
