Priority Technology Holdings stock climbs on CEO buyout proposal

Investing.com -- Priority Technology Holdings (NASDAQ: PRTH) stock soared 12% Monday after the company’s CEO and largest individual shareholder Thomas Priore submitted a proposal to take the payment solutions provider private.
Priore, along with affiliated entities that collectively control approximately 60% of the company’s outstanding shares, offered to acquire the remaining equity at a price range of $6.00 to $6.15 per share in cash. The proposed purchase price represents a premium of 23% to 26% over Priority’s closing share price on November 7, 2025, valuing the company at approximately $510 million to $520 million.
In his letter to the board, Priore stated that the proposal would "deliver immediate, certain and compelling value to minority shareholders and will enable the Company to thrive as a private enterprise." He noted that despite establishing "a strong track record of free cash flow through various economic cycles," the company has been "consistently undervalued" by public markets.
The transaction would be funded through a combination of equity and new debt financing, with no financing contingency. All existing stock options, RSUs, and other equity awards would accelerate upon completion of the deal and be cashed out at the per-share purchase price.
The CEO’s proposal is contingent on the formation of a special committee of independent directors to review the offer and the execution of a definitive agreement with customary terms.
