ServiceNow executives cancel stock sales, CEO plans $3M purchase

ServiceNow Inc. (NYSE: NOW) executives have terminated their trading plans under Rule 10b5-1 and cancelled all future planned stock sales, according to a company filing.

The executives who terminated their trading plans include Chairman and CEO William McDermott, President and CFO Gina Mastantuono, Vice Chairman Nicholas Tzitzon, Chief People and AI Enablement Officer Jacqueline Canney, and Special Counsel Russell Elmer.

McDermott entered into a share purchase agreement on February 13, 2026, to buy $3 million worth of ServiceNow common stock on February 27, 2026, at prevailing market prices. The purchase date represents the earliest McDermott can buy company shares without incurring short-swing profit liability under Section 16 of the Securities Exchange Act.

The purchase will be disclosed on a Form 4 filing with the Securities and Exchange Commission when required. Rule 10b5-1 trading plans allow company insiders to establish predetermined trading schedules to avoid potential insider trading violations.
