WhiteFiber underwriters exercise full over-allotment option for $23.9m

WhiteFiber Inc. (NASDAQ: WYFI) announced that underwriters of its initial public offering have fully exercised their over-allotment option to purchase an additional 1,406,250 ordinary shares at $17.00 per share, generating approximately $23.9 million in additional gross proceeds.



The exercise increases the total number of ordinary shares sold in the IPO to 10,781,250 shares and raises total gross proceeds to approximately $183.3 million. The over-allotment option exercise is expected to close on September 4, 2025, subject to customary closing conditions.



WhiteFiber's ordinary shares began trading on The Nasdaq Capital Market on August 7, 2025, under the ticker symbol "WYFI."



B. Riley Securities and Needham & Company served as joint book-running managers for the offering, with Macquarie Capital also acting as a book-runner. Roth Capital Partners acted as lead manager, while Craig-Hallum and Clear Street served as co-managers.



The Securities and Exchange Commission declared the registration statement for these securities effective on August 6, 2025.



WhiteFiber provides artificial intelligence infrastructure solutions, operating high-performance computing data centers and cloud services for customers. The company's vertically integrated model combines colocation, hosting, and cloud services designed for generative AI workloads. WhiteFiber was carved out of Bit Digital Inc. in connection with this offering and now operates as a separate public company.
