ROC closes $24 million IPO on Nasdaq at $6 per share

ROC (NASDAQ: ROC) announced it closed its initial public offering of 4 million shares at $6.00 per share, generating $24 million in gross proceeds before underwriting fees and expenses.



The Denver-based Vision AI company priced its shares at the high end of the expected range. ROC's stock began trading on the Nasdaq Capital Market on February 20, 2026.



The company granted underwriters a 30-day option to purchase up to 600,000 additional shares to cover potential over-allotments. The Benchmark Company served as sole book running manager for the offering.



ROC stated it plans to use net proceeds to hire personnel for growth initiatives, expand neural-processing infrastructure for Vision AI algorithm development, and fund working capital and general corporate purposes.



The company develops biometric, video analytics, and mission intelligence solutions for defense, public safety, and digital commerce applications. ROC operates from headquarters in Denver with additional locations in Grand Rapids, Michigan, and Morgantown, West Virginia.



The Securities and Exchange Commission declared ROC's registration statement effective on January 30, 2026. A supplemental registration statement was filed and became effective on February 20, 2026.
