GSR IV Acquisition prices $200 million IPO at $10 per unit
GSR IV Acquisition Corp. (NASDAQ: GSRF) priced its initial public offering of 20 million units at $10.00 per unit, raising $200 million in gross proceeds, according to a company statement.
The units will begin trading on the Nasdaq Global Market on September 4, 2025, under the ticker symbol "GSRFU." Each unit includes one Class A ordinary share and one-seventh of a right, with each whole right allowing the holder to receive one Class A ordinary share upon completion of a business combination.
The offering is expected to close September 5, 2025, subject to standard closing conditions. The company granted underwriters a 45-day option to purchase up to 3 million additional units at the IPO price to cover over-allotments.
Once the securities begin separate trading, the Class A ordinary shares and rights will trade on Nasdaq under the symbols "GSRF" and "GSRFR," respectively. No fractional rights will be issued upon separation of the units.
Polaris Advisory Partners LLC and The Benchmark Company LLC served as joint bookrunners for the offering. Polaris is owned and controlled by GSR IV's management, making Benchmark the qualified independent underwriter for the transaction.
GSR IV is a blank check company incorporated in the Cayman Islands that plans to pursue a business combination with one or more companies. The company's management team includes co-CEOs Gus Garcia and Lewis Silberman, President and CFO Anantha Ramamurti, and Chief Business Development Officer Yuya Orime.
The Securities and Exchange Commission declared the company's registration statement effective on September 2, 2025.
