Columbus Circle Capital raises $230 million in IPO on NASDAQ
Columbus Circle Capital Corp. II (NASDAQ: CMIIU) completed its initial public offering, raising $230 million through the sale of 23 million units priced at $10 each. The offering included 3 million additional units from the full exercise of underwriters' over-allotment option.
The company's units began trading on February 11, 2026, on the NASDAQ Global Market under the ticker symbol "CMIIU." Each unit consists of one Class A ordinary share and one-third of one redeemable warrant. Whole warrants allow holders to purchase one Class A ordinary share at $11.50 per share, subject to adjustments.
Once the securities begin separate trading, the Class A ordinary shares and warrants are expected to list on NASDAQ under the symbols "CMII" and "CMIIW," respectively. No fractional warrants will be issued upon unit separation.
Cohen & Company Capital Markets served as lead book-running manager for the offering, with Clear Street LLC acting as joint book-runner. A subsidiary of Cohen & Company Inc. (NYSE American: COHN) also acted as the company's sponsor.
The Securities and Exchange Commission declared the registration statement effective on January 30, 2026. The company placed $230 million from the offering proceeds and a simultaneous private placement into a trust account for public shareholders' benefit.
Columbus Circle Capital Corp. II is a blank check company formed to pursue mergers, acquisitions, or similar business combinations with one or more businesses across any industry or geographical location. The management team is led by Chief Executive Officer Gary Quin and Chief Financial Officer Joseph W. Pooler, Jr.
