Donerail urges MarineMax shareholders to vote against CEO

The Donerail Group, which owns over 4% of MarineMax Inc. (NYSE: HZO), issued an open letter urging shareholders to vote against CEO Brett McGill's re-election as director at the company's March 3, 2026 annual meeting.
Donerail reaffirmed its $35 per share all-cash acquisition proposal for MarineMax, representing a premium over the company's 60-day volume-weighted average price of $25.45. The investment group said it submitted the initial proposal on January 13, 2026, with a more detailed version on February 1, 2026.
The investor group criticized what it described as governance issues at MarineMax, citing the employment of multiple family members across senior leadership roles. According to the letter, two of McGill's sons currently work at MarineMax as an In-House Service Advisor and Detail Specialist, with a third previously employed as a Sales Coordinator. The company disclosed paying approximately $293,156 to the son of its Chief Financial Officer.
Donerail highlighted MarineMax's performance under McGill's leadership, noting the stock declined over 35% in the past five years and closed down more than 8% following the most recent earnings call. The group said the company missed quarterly earnings expectations in 8 of 13 quarters following the Island Global Yachting acquisition in Q4 2022.
The letter stated that MarineMax's gross margins contracted and adjusted earnings per share fell from approximately $9.00 to less than $1.00 since the IGY acquisition announcement. Donerail also noted that McGill sold an average of 62% of equity granted to him in 12 of the past 13 years, including 91% last year.
If McGill fails to receive majority shareholder support, Donerail suggested the board should appoint current CFO Michael McLamb as interim CEO while conducting a strategic review.
