DOMA Perpetual Capital Management announced its intent to nominate three independent director candidates at Pacira BioSciences Inc.'s (NASDAQ: PCRX) 2026 annual meeting of stockholders. The Miami-based asset management firm owns approximately 6.83% of Pacira's outstanding common stock.

DOMA stated it believes Pacira's board should pursue an immediate sale of the company. The investment firm also characterized the company's current executive compensation and general spending levels as excessive and questioned whether the board has exercised appropriate fiduciary oversight.

The firm intends to file a preliminary proxy statement and accompanying proxy materials with the Securities and Exchange Commission to solicit votes for its director nominees at the 2026 annual meeting.

According to the filing, DOMA LO Master directly owns 1,965,775 shares of Pacira common stock, while the John Templeton Foundation owns 812,019 shares. Pedro Escudero, DOMA's founder and chief investment officer, directly owns 159,000 shares. As investment manager, DOMA may be deemed to beneficially own the 2,936,794 shares held by its managed entities.

DOMA Perpetual Capital Management is an asset management firm based in Miami, Florida that employs an opportunistic, fundamentals-based investment strategy across various sectors and market capitalizations globally.

The proxy materials will be available on the SEC's website once filed. DOMA advised stockholders to read the proxy statement and related materials when they become available, as they will contain important information regarding the proxy solicitation.
