Inspirato rejects acquisition interest, maintains independent strategy

Inspirato Incorporated (NASDAQ: ISPO) announced it will remain independent after its board of directors rejected recent unsolicited acquisition interest. The luxury vacation club company stated the board determined that pursuing such a transaction would not serve the best interests of the company, shareholders, members, or employees.
The Denver-based company reported achieving trailing 12-month EBITDA profitability as of the second quarter of 2025. Over the past 14 months, Inspirato implemented cost reduction measures that cut overhead expenses by tens of millions of dollars and relaunched its Inspirato Pass service.
"Our responsibility is to maximize long-term shareholder value," said Payam Zamani, Chairman and CEO. "Inspirato is stronger today than at any point in its recent history. We have an extraordinary team, a resilient business model, and a clear vision for the future."
The company operates as a luxury vacation club providing access to vacation homes, five-star hotel partnerships, and custom travel experiences. Inspirato stated it is exploring financing options to support growth as a standalone entity.
The announcement comes as part of what the company describes as a focused transformation that included creating a more streamlined business structure and expanding member access to its services. The company did not disclose details about the parties that expressed acquisition interest or the potential value of any proposed transactions.
